Mr. Orpilla has broad experience in commercial and corporate governance matters. He has dealt with numerous issues that come within corporation and registration of companies, investments, regulatory compliance, M&A transactions and intra-corporate controversies.
He has counseled general contractors, sub-contractors and suppliers on issues relating to compliance with contracts and government regulations, enforcement of bonds, guarantees, payment certificates and insurance documents.
He has also advised clients in determining the appropriate legal form for their business (i.e., establishments, LLCs, branches, representative offices), company registrations with the UAE free zones, formation of joint ventures, including drafting and review of joint venture agreements, shareholders' agreements, management and technical consultancy agreements, agency agreements and other similar documents. He advises clients on share acquisitions and divestments, joint ventures and corporate restructurings including companies being acquired or fending off hostile takeovers. He also assists our M&A team in strategy, due diligence, planning and execution of M&A transactions.
Furthermore, he handles some of the general retainer clients of the firm. Mr.Orpilla also has extensive experience in numerous areas of banking and finance including, asset finance, bank asset sales, leveraged finance, projects, real estate finance and structured finance.
